Donations made during the Jersey Mike’s Campaign are charitable contributions to the organization identified at the point of sale (“Recipient Charity”) and will be sent by Jersey Mike’s to Recipient Charity no later than 30 days after the end of the month in which your donation is made, unless Recipient Charity becomes ineligible to receive such charitable contributions. Jersey Mike’s does not deduct any amounts or fees from your donation.

Campaign Terms of Use

These Campaign Terms of Use (the “Terms”) constitute a legally binding agreement between you (“you”, “your”, or “user”) and Jersey Mike’s Franchise Systems, LLC (“Jersey Mike’s”, “we”, “us”, or “our”) that governs your use of the Campaign (the “Campaign”) on Jersey Mike’s and its subsidiaries’ and affiliates’ websites, including without limitation https://jerrseymlctes.delivery/, and mobile applications (collectively, the “Sites”). Your participation in the Campaign is subject to these Terms, the Jersey Mike’s Privacy Policy, available at https://jerrseymlctes.delivery/privacy-policy (the “Privacy Policy”) and the Jersey Mike’s Terms of Use, available at https://jerrseymlctes.delivery/terms-of-use, (the “Terms of Use”). If there is any conflict between the Terms of Use or the Privacy Policy and these Terms, the Terms of Use or the Privacy Policy, as applicable, will apply. Any defined terms contained herein shall have the same meaning as those in the Terms of Use or the Privacy Policy, as applicable. You may participate in the Campaign only in compliance with these Terms, the Terms of Use and the Privacy Policy (collectively, the “Agreements”) and all applicable laws and regulations. Your participation in the Campaign indicates that you agree with, and are bound by, the Agreements. IF YOU DO NOT AGREE TO BE BOUND BY THE AGREEMENTS, YOU MAY NOT PARTICIPATE IN THE CAMPAIGN.

1. The Campaign

The Campaign allows participating users the ability to enable a function within the Sites that will round up payment charges for qualifying orders to the next whole dollar and donate the difference between the order amount and the next whole dollar at the time the order is placed (such difference, a “Round Up Donation”) to Recipient Charity. In addition, the Campaign allows participating users the ability to donate to Recipient Charity in amounts of $1, $3, or $5 (such donation, a “Micro Donation”; a Round Up Donation and a Micro Donation under this Campaign are collectively referred to as a “Donation”). The Campaign is not available for orders placed using a line of credit payment method.

2. Payment and Donations

By participating in the Campaign, when you elect to make a Round-Up Donation, you authorize Jersey Mike’s to round up payment charges for each qualifying order to the next whole dollar (after tax, tip, and fees), which may range from $0.01 to $0.99, and you authorize Jersey Mike’s to charge the payment method used for the qualifying order for the Donation (which will be in addition to the payment charges for the order itself). When rounding up, you may not increase or decrease the Round Up Donation amount. Either alternatively to or in addition to such Round Up Donation, when you elect to make a Micro Donation, you authorize Jersey Mike’s to charge the payment method used for the qualifying order for the donation a Micro Donation amount of $1, $3, or $5, depending on which amount you select. Jersey Mike’s will hold your Donation for each order, without interest, and you authorize Jersey Mike’s to deliver the entire amount of your Donation to Recipient Charity.

Jersey Mike’s will calculate and display the amount of your Donation as a line item in your order receipt, and this will constitute Jersey Mike’s sole reporting obligation to you in connection with the Donation.

Except as described herein, users shall have no discretion on the recipient of their Donation, and all Donations will be sent to the Recipient Charity.

Jersey Mikes will only allow users to make a Donation on certain qualifying orders. If the cost of an order results in a full dollar total, then no Round Up Donation will be made. Unless stated otherwise, participation in the Campaign will not generate any additional benefits to users through any third-party rewards program. Orders that are canceled or fully refunded will result in cancellation or refund of the Donation, but partial refunds will not affect the Donation.

CALIFORNIA AND HAWAII DISCLOSURES: As of the date above, Donations are made to the identified Recipient Charity. Your Donation will not go to Recipient Charity if: (1) Recipient Charity’s public charity status with the Internal Revenue Service as an organization described in Section 501(c)(3) of the Code has changed or has been revoked; (2) Recipient Charity is prohibited from soliciting or operating in California by the California Attorney General’s Office Registry of Charitable Trusts; (3) Recipient Charity’s tax-exempt status has been revoked by the California Franchise Tax Board; or (4) Recipient Charity is prohibited from soliciting or operating in Hawaii by the Hawaii Department of the Attorney General.

Donations will be sent to Recipient Charity within a maximum of thirty (30) days after the end of the month in which the donation was made, unless Recipient Charity is not eligible to be sent the funds. In the event Recipient Charity is no longer eligible, we will notify you.

You will receive a tax donation receipt from Jersey Mike’s (on behalf of Recipient Charity) within five (5) business days of your donation.

If you are a California donor and wish to find out whether your specific donation was sent to Recipient Charity, you may email such request to [email protected]. If you wish to provide your name and contact information to Recipient Charity, you may email such request to [email protected].

For California Donations, if Recipient Charity becomes ineligible to receive donated funds, we will notify you in writing no later than thirty (30) days after our determination of eligibility and request that you recommend an alternate charitable organization. Such written notification may be sent electronically. Donors shall have thirty (30) days from the date of written notification to recommend an alternate Recipient Charity. If an eligible alternate is identified by you within thirty (30) days of such notification, we will send the donated funds to the alternate Recipient Charity no later than thirty (30) days from the last date donors could timely recommend an alternate. If an alternate is timely recommended but determined to be not eligible or if an alternate is not timely recommended, we will select another alternate Recipient Charity, and send donated funds to such alternate no later than thirty (30) days from the last date donors could timely recommend an alternate.

3. Disclaimers

Jersey Mike’s does not guarantee that the Campaign will be available on its Sites. Further, Jersey Mike’s does not make any guarantees or representations that Recipient Charity will continuously operate or qualify as a charitable or public interest organization, or that its mission will remain the same. Except to the extent set forth in these Terms or as otherwise required by law, Jersey Mike’s disclaims liability for, and makes no guarantees or representations with respect to, how the Donation will be spent by Recipient Charity, or any potential tax deductions or benefits that users may receive as a result of any Donation. Some Donations may not be eligible for tax deductions or other benefits. Users are solely responsible for undertaking any required reporting and for claiming any applicable tax benefits that they wish to seek. Jersey Mike’s does not represent, warrant, or guarantee that the IRS will ultimately recognize your Donation as being tax deductible, whether in full or in part. Generally, contributions to organizations recognized by the IRS as tax-exempt under Internal Revenue Code Section 501(c)(3), such as Recipient Charity, are tax deductible as charitable contributions for federal income tax purposes. You should seek the advice of a tax professional to determine whether your Donation qualifies for a tax deduction or otherwise. Jersey Mike’s does not provide legal or tax advice, and nothing contained herein or anywhere in the Sites should be construed as such.

4. Limitation of Liability

IN NO EVENT SHALL JERSEY MIKE’S BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE OR OTHER SIMILAR DAMAGES ARISING FROM THESE TERMS, YOUR PARTICIPATION IN THE CAMPAIGN OR RECIPIENT CHARITY’S USE OF YOUR DONATION, HOWEVER ARISING, INCLUDING NEGLIGENCE, EVEN IF WE, RECIPIENT CHARITY, OR OUR AGENTS OR REPRESENTATIVES OR RECIPIENT CHARITY’S AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CERTAIN JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, IN WHICH CASE SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

5. Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, JERSEY MIKE’S MAKES NO REPRESENTATIONS OR WARRANTIES TO YOU CONCERNING THE SITES, THE CAMPAIGN OR OTHERWISE (COLLECTIVELY, THE “JERSEY MIKE’S MATERIALS”). JERSEY MIKE’S PROVIDES THE JERSEY MIKE’S MATERIALS “AS IS” AND WITHOUT WARRANTY. JERSEY MIKE’S DOES NOT WARRANT THAT THE JERSEY MIKE’S MATERIALS WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATIONS OF THE JERSEY MIKE’S MATERIALS WILL BE UNINTERRUPTED OR ERROR FREE OR THAT THE JERSEY MIKE’S MATERIALS WILL BE AVAILABLE AT ALL TIMES. TO THE FULLEST EXTENT PERMITTED BY LAW, JERSEY MIKE’S SPECIFICALLY DISCLAIMS ALL WARRANTIES IN RESPECT TO THE JERSEY MIKE’S MATERIALS, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE, AND ALL WARRANTIES ARISING FROM ANY COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.

6. General

Jersey Mike’s reserves the right to discontinue the Campaign and cease collecting Donations at any time and for any reason and without notice; provided that, if the Campaign is terminated, Jersey Mike’s agrees to direct any existing Donations to Recipient Charity pursuant to these Terms. Additionally, Jersey Mike’s may change these Terms from time to time and without prior notice. If Jersey Mike’s makes a change to these Terms, it will be effective as soon as Jersey Mike’s posts it and the most current version of the Terms will always be posted on our Site(s). If Jersey Mike’s makes a material change to the Terms, Jersey Mike’s may notify you. You agree that you will review this agreement periodically. By participating in the Campaign after Jersey Mike’s posts Updated Terms, you agree to be bound by the Updated Terms, and if you do not agree to the Updated Terms, you will stop participating in the Campaign.
